1. Introduction
These Terms and Conditions (“Terms”) govern your use of the SupaAgent platform (“Platform”), operated by Giddaa Housing Limited (“Giddaa”, “we”, “us”, or “our”).
SupaAgent is a digital platform that enables real estate agents to:
List and discover properties
Access and manage buyer leads
Collaborate with other agents
Schedule inspections
Track deals and transactions
Facilitate real estate transactions
By accessing or using SupaAgent, you agree to be bound by these Terms.
If you do not agree, do not use the Platform.
2. Eligibility
To use SupaAgent, you must:
Be at least 18 years old
Be legally capable of entering binding agreements
Provide accurate and complete registration information
Giddaa reserves the right to verify user identity and professional status at any time.
3. Nature of the Platform
SupaAgent is:
A technology platform, not a real estate brokerage
A facilitator of agent collaboration and transactions
A system for enforcing cooperation rules and commission structures
Giddaa does not guarantee:
The accuracy of listings
The legality of property titles
The performance and absolute legitimacy of any agent or user
Behaviour of other agents and/or buyers.
Agents are solely responsible for their actions, representations, and transactions.
4. User Accounts
You agree to:
Maintain the confidentiality of your account
Be responsible for all activity under your account
Notify us immediately of unauthorized use
Giddaa may suspend or terminate accounts that:
Provide false information
Engage in fraudulent or unethical conduct
Violate platform rules
5. Platform Rules & Agent Conduct
All users must:
Act honestly and professionally
Provide accurate property and transaction information
Respect other agents’ roles and agreements
Comply with applicable laws and regulations
You must not:
Post fake, misleading, or duplicate listings
Misrepresent property ownership or status
Harass, abuse, or deceive other users
Attempt to bypass the platform to avoid obligations
6. Lead Pool & Assignment
6.1 Lead Ownership
Leads generated or distributed through SupaAgent remain under platform governance
Assignment of leads is at Giddaa’s discretion.
6.2 Agent Responsibilities
Assigned agents must:
Actively engage the lead
Provide timely responses
Progress transactions professionally
6.3 Reassignment
Giddaa may reassign leads if:
An agent is unresponsive
Performance is below required standards
The user reports poor service
7. Cooperation & Commission Framework
This is the core of your protection.
7.1 Mandatory Cooperation Agreement
Before certain actions (e.g., inspections), agents must agree to:
Defined roles (buyer agent, seller agent, closing agent)
Commission structure
Transaction responsibilities
7.2 Commission Enforcement
Commission splits agreed on the platform are binding in a court of competent jurisdiction under this agreement.
Payments may be facilitated via platform-controlled processes (including escrow where applicable)
7.3 No Circumvention (Anti-Bypass Clause)
You agree not to bypass SupaAgent to complete transactions introduced through the platform.
This includes:
Contacting parties outside the platform to avoid fees
Completing transactions off-platform after introduction
Redirecting leads to avoid platform tracking
If you do:
You remain liable for full commission and platform fees
Giddaa may impose penalties, including:
Permanent suspension
Financial claims
Legal action
8. Inspections & Communication Control
Contact details between parties may be restricted until certain steps are completed
Inspection bookings must follow platform workflow
All interactions related to a transaction may be monitored for compliance
This ensures:
Commission protection
Reduced fraud and agent bypass
9. Listings & Property Information
Users who post listings must ensure:
They have authority to list the property
Information provided is accurate and up to date
All material facts are disclosed
Giddaa may:
Remove or flag listings
Suspend users posting invalid properties
Giddaa is not responsible for verifying ownership or title authenticity of listings.
10. Payments & Fees
10.1 Platform Fees
Giddaa may charge:
Transaction-based fees
Lead access or bidding fees
Subscription fees (where applicable)
All fees will be communicated clearly before proceeding with a transaction.
10.2 Commission Payments
Where applicable:
Commission may be processed through structured mechanisms (e.g., escrow or tracked agreements)
Giddaa is not liable for disputes outside platform-defined agreements
11. Ratings, Monitoring & Enforcement
Giddaa may:
Monitor communications and transactions
Collect feedback from users
Evaluate agent performance
We may take action including:
Lead reassignment
Temporary suspension
Permanent bans
Public reporting within the platform ecosystem
Public reporting for members of the public if proof is discovered of your account acting in suspiciously or break our platform rules. You agree to not hold us liable or accountable under any circumstance if this happens.
12. Intellectual Property
All platform content, including:
Software
Branding
Design
Data systems
belongs to Giddaa.
You may not:
Copy, modify, or distribute platform materials
Reverse engineer or exploit the system
13. Data & Platform Use
By using SupaAgent:
You grant Giddaa the right to process and use your data to operate and improve the platform
You agree that anonymized data may be used for analytics and product improvement

14. Limitation of Liability
To the fullest extent permitted by law:
Giddaa is not liable for:
Loss of deals or commissions
Misrepresentation by other users
Property disputes or title issues
Financial losses arising from transactions
Assaults, fights or other physical issues between agents.
Use of the platform is at your own risk.
15. Indemnification
You agree to indemnify and hold harmless Giddaa from any claims, damages, or liabilities arising from:
Your use of the platform
Your transactions
Your breach of these Terms
16. Termination
We may suspend or terminate your account at any time if you:
Violate these Terms
Engage in fraud or misconduct
Attempt to bypass the platform
Upon termination:
Access is revoked
Outstanding obligations remain enforceable
17. Dispute Resolution
17.1 Platform-Level Resolution
Giddaa may act as a mediator for disputes between users
Platform records (messages, agreements, actions) may be used as evidence
17.2 Governing Law
These Terms are governed by the laws of the Federal Republic of Nigeria.
17.3 Legal Action
Giddaa reserves the right to pursue legal action where necessary, including:
Recovery of unpaid commissions
Enforcement of agreements
Claims for damages
18. Changes to Terms
We may update these Terms at any time.
Continued use of the platform constitutes acceptance of updated Terms.
